User Submissions
Any User Submission that you post to the Winerybound Website shall automatically be deemed non-confidential. By posting a User Submission, you expressly grant Winerybound a royalty-free, perpetual, irrevocable, nonexclusive, worldwide license to use, reproduce, modify, publish, edit, translate, distribute, perform, display, and make derivative works of such User Submission, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, and further including the unfettered right to sublicense such rights. By uploading any Materials to the site, you agree to these Terms. If you do not agree to the Terms, do not view the site or upload any Materials from it.
User Conduct
You (the winery) are solely responsible for the content and context of all items and materials you compose or otherwise distribute in using the Winerybound website. You warrant and agree that, while accessing the Site or any Content and during or as a result of using any Service, you shall not:
A. harass, threaten, embarrass, or cause distress or discomfort upon another party;
B. transmit or otherwise distribute any information, data, text, files, links, software, messages, communications, or other materials that may be considered unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable;
C. impersonate any other person or entity or misrepresent your affiliation with any other person or entity;
D. violate any applicable laws, rules, or regulations or otherwise use the Services in any manner that violates any applicable laws, rules, or regulations (including laws, rules, and regulations relating to unsolicited messages or calls and U.S. export requirements);
E. upload, publish, transmit, reproduce, or distribute in any way information, software, or other material that is protected by copyright or other intellectual property rights, without first obtaining proper permission; and
F. upload, publish, transmit, reproduce, or distribute any unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, or otherwise objectionable information of any kind (including any transmissions constituting or encouraging conduct that would constitute illegal activity, give rise to civil liability, or otherwise violate any local, state, national or foreign law, rule, or regulation).
Refusal of Service
You understand that Winerybound has no obligation to monitor your use of the Services and the materials you develop with the Services. Winerybound does, however, reserves the right to review the same and to remove (and/or suspend the Services with respect to) any materials that Winerybound believes (in its sole discretion) are illegal or otherwise improper. Winerybound also reserves the right, in its sole discretion, to require proof that you are authorized to distribute the content developed with the Services.
Termination of Usage
Winerybound may terminate User's access, or suspend any User's access to all or part of Winerybound Web site, without notice, for any conduct that Winerybound, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of another User, a third-party Provider or Winerybound. Winerybound reserves the right to seek all remedies available at law and in equity for violations of these Terms of Use.

Links to third party web sites on the Site are provided solely as a convenience to users. If you use these links, you will leave the Site. Winerybound does not control and is not responsible for any of these third party sites or their content. Thus, Winerybound does not endorse or make any representations about them, any information, software, or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the third party sites linked to the Site, you do so entirely at your own risk.

Payment of services
Winerybound will normally process this order within 3 business days after the check clears or immediately after money order is received. Once Winerybound processes the order, an email will be sent to you notifying you that your order has been placed. Through completion of the order form for a service, and by logging in at Winerybound the first time, you are activating the service and have confirmed acceptance of these Terms and Conditions.
Incomplete orders and incorrect orders will not be processed by Winerybound. This includes incomplete addresses, incorrect addresses, missing information, and missing or incomplete phone numbers. This information is required.
Winerybound reserves the right to refuse any order for any reason for protection against fraud.
A dishonored check, regardless of the reason for return, is subject to the $30.00 service charge per item
Orders are processed in the order that they are received pending approval of payment.
Payment
At this time, Winerybound accepts Checks in US dollars drawn on a US bank, or international postal money orders in US dollars
On receipt of an order via the Winerybound website or purchase order from you to which these Terms and Conditions have been attached or agreed to, or alternatively a copy of a signed contract which incorporates these Terms and Conditions, we will send you an invoice that is due for payment immediately. If you so not pay for the service, we may suspend or terminate your service without further notice and will exercise our statutory right to claim interest and compensation for debt recovery costs under the late payment legislation.
Image Processing
Winerybound will assist member wineries with uploading of images specific to their pages. Winerybound has the ability to decline images based upon content.
Termination of Service
You may terminate the Service in the following circumstances:
* By giving to us not less than one week advance notice in writing; or
* If we should notify you of a change to these Terms, by giving to us notice in writing before that change in Terms is implemented.
We may terminate the Service by notice in writing (normally by email), in the following circumstances:
* If you fail to make full payment for the Service; or
* If you fail to fulfill or breach any material obligation under these Terms
Any Termination shall be without prejudice to any other rights you or we may have at the date of termination save that you will not be entitled to any refund, pro-rata or otherwise, if this agreement is terminated in advance of its expiry for any reason.
Implied Terms
Except as expressly provided in these Terms, we expressly disclaim any further representations, warranties, conditions or other terms, express or implied, by statute, collaterally or otherwise, including but not limited to implied warranties, conditions or other terms of merchantability, satisfactory quality or fitness for a particular purpose.
